Abstrak

Perkembangan dunia bisnis menempatkan Perseroan Terbatas (PT) sebagai wadah favorit karena adanya asas pertanggungjawaban terbatas. Namun, instrumen tata kelola korporasi ini kerap disalahgunakan melalui kejahatan kerah putih (white-collar crime) berupa manipulasi administrasi Rapat Umum Pemegang Saham Luar Biasa (RUPS-LB). Secara konvensional, sengketa akibat dilusi saham dipandang sebagai domain hukum perdata privat. Kendati demikian, terdapat research gap yang tajam berupa benturan rezim hukum ketika dilusi saham terjadi akibat perbuatan pidana pemalsuan intelektual, serta adanya dilema pasca-putusan (post-litigation dilemma) di mana putusan pidana tidak serta-merta memulihkan hak ekonomi korban yang terdilusi. Penelitian ini bertujuan untuk menganalisis kualifikasi yuridis rekayasa RUPS-LB sebagai perbuatan melawan hukum pidana serta memetakan batas pertanggungjawaban pidana bagi organ Komisaris yang terlibat aktif dalam pemalsuan dokumen korporasi berdasarkan Putusan PN Palu No. 347/Pid.B/2022/PN Pal jo. Putusan MA No. 733 K/PID/2023. Jenis penelitian yang digunakan adalah penelitian hukum normatif dengan tipe penelitian doktrinal (doctrinal research). Sifat penelitian ini adalah preskriptif analitis dengan menggunakan pendekatan perundang-undangan (statute approach) dan pendekatan konseptual (conceptual approach). Hasil penelitian ini adalah bahwa rekayasa RUPS-LB PT Kemilau Nusantara Minahasa (PT ANI) yang dilaksanakan secara fiktif terbukti memenuhi seluruh unsur perbuatan melawan hukum pidana murni berdasarkan Pasal 266 Ayat (2) jo. Pasal 55 Ayat (1) ke-1 KUHP. Melalui lensa Teori Kepastian Hukum, intervensi sanksi pidana 1 tahun penjara dinilai proporsional karena jalur keperdataan korporasi sudah tidak memadai (inadequate) untuk menghentikan dampak kerusakan ekonomi korban secara instan. Pertanggungjawaban pidana Komisaris (David Israel Supardi) dalam kasus dilusi saham dan pemalsuan ini dibebankan secara individual-personal. Berdasarkan Teori Fiduciary Duty, Teori Perlindungan Hukum, dan Teori Pertanggungjawaban Pidana Korporasi, jubah imunitas badan hukum wajib ditanggalkan karena Komisaris telah beralih peran dari pengawas pasif menjadi pelaku aktif yang menggunakan akta otentik berisi keterangan palsu untuk memanipulasi izin tambang (IUP) negara dan mendilusi saham korban.

The development of the modern business world positions the Limited Liability Company (PT) as a preferred corporate vehicle due to the principle of limited liability. However, this corporate governance instrument is frequently abused through white-collar crime in the form of administrative manipulation of the Extraordinary General Meeting of Shareholders (EGMS). Conventionally, disputes arising from share dilution are viewed as the domain of private civil law. Nevertheless, a sharp research gap exists in the form of a clash of legal regimes when share dilution occurs as a result of the criminal act of intellectual forgery, alongside a post-litigation dilemma where a criminal decision does not automatically restore the diluted economic rights of the victim. This study aims to analyze the juridical qualification of fabricated EGMS as a criminal unlawful act and to map the boundaries of criminal liability for the Board of Commissioners actively involved in the forgery of corporate documents based on the Palu District Court Decision No. 347/Pid.B/2022/PN Pal jo. Supreme Court Decision No. 733 K/PID/2023. The type of research used is normative legal research with a doctrinal research approach. The nature of this research is prescriptive-analytical, utilizing both the statute approach and the conceptual approach. The results indicate that the fabricated EGMS of PT Kemilau Nusantara Minahasa (PT ANI), which was conducted fictitiously, is proven to fulfill all the elements of a pure criminal unlawful act under Article 266 Paragraph (2) jo. Article 55 Paragraph (1) 1st of the Criminal Code (KUHP). Through the lens of the Legal Certainty Theory and the Ultimum Remedium Theory, the intervention of a 1-year prison sentence is considered proportional because the corporate civil path was inadequate to instantly halt the economic damage inflicted upon the victim. The criminal liability of the Commissioner (David Israel Supardi) in this case of share dilution and forgery is imposed on an individual-personal basis. Based on the Fiduciary Duty Theory, the Legal Protection Theory, and the Corporate Criminal Liability Theory, the veil of corporate immunity must be pierced because the Commissioner shifted from a passive supervisor to an active actor (the directing mind) who used an authentic deed containing false information to manipulate state mining licenses (IUP) and dilute the victim's shares
